The Board of Governors (BoG) serves as the highest policy-making and oversight body for the proposed 50-Bedded Kashmir Cardiac Centre Baloch, under Smile Foundation.
The Board ensures the hospital operates with transparency, accountability, and clinical excellence, while fulfilling Smile Foundation’s mission of providing accessible cardiac care to the underserved population.
Roles and Responsibilities
The Board of Governors oversees all aspects of the hospital to ensure success and trust:
- Strategic Oversight
- Approve hospital vision, mission, and long-term strategy
- Provide policy direction for sustainable growth
- Align with Smile Foundation’s charitable objectives
- Governance & Compliance
- Ensure adherence to local health regulations and NGO governance standards
- Approve bylaws, operational policies, and ethical guidelines
- Financial Oversight
- Approve annual budgets and financial plans
- Monitor donor funds, grants, and Zakat contributions
- Ensure transparent accounting and reporting
- Quality of Care & Patient Safety
- Review clinical standards and patient safety protocols
- Support continuous improvement in healthcare delivery
- Management Oversight
- Appoint and evaluate the Hospital Director/CEO
- Approve key staffing policies and organizational structure
- Donor & Stakeholder Relations
- Maintain relationships with donors, government agencies, and partners
- Ensure donor conditions are met and recognized
- Risk Management
- Identify operational, financial, and reputational risks
- Implement mitigation strategies and emergency preparedness

- Conduct quarterly meetings (emergency meetings as required)
- Document minutes and prepare annual reports for stakeholders

- Follow a code of ethics and conflict-of-interest policy
- Make decisions in the best interest of patients and the institution
- IT, Health Informatics & HR/Training
- Implement and maintain hospital information systems (HIS) and telemedicine
- Ensure secure patient data management and IT upgrades
- Guide recruitment, training, career development, and retention strategies
